Terms of Service

RunningLocal (runninglocal.ai) Effective date: July 9, 2026

These Terms of Service ("Terms") govern your use of runninglocal.ai (the "Site"), operated by RunningLocal, a service of RiseWise LLC, a Nevada limited liability company ("RunningLocal," "we," "us"). By using the Site, you agree to these Terms. If you don't agree, please don't use the Site.

1. What the Site is

The Site describes our services: AI operational infrastructure built for and deployed into service businesses, maintained and improved under ongoing engagements. The Site itself is informational. It lets you learn about what we do, contact us, and schedule a conversation or assessment.

2. Services are governed by separate agreements

Nothing on the Site is an offer that becomes a contract by itself. Any actual engagement, assessments, builds, retainers, deployments, is governed by a separate written services agreement between us and your company, which will set out scope, pricing, ownership, confidentiality, and data handling. If there's ever a conflict between these Terms and a signed services agreement, the services agreement wins for that engagement.

3. No professional advice

Content on the Site is general information about our services and industry, not legal, financial, tax, or other professional advice. Decisions about your business are yours; talk to the right professionals where it matters.

4. Acceptable use

You agree not to misuse the Site, including by: attempting to breach its security or interfere with its operation; scraping or harvesting data at scale; submitting malicious code; using the Site to send spam; or impersonating any person or company in communications with us. We may restrict access for misuse.

5. Intellectual property

The Site and its content, text, branding, the RunningLocal name and marks, graphics, and design, belong to RiseWise LLC or its licensors. You may view and share links to the Site freely. You may not copy, republish, or use our branding or content commercially without written permission. Ownership of anything we build for a client is defined in that client's services agreement (our standing model: you own what we build for you).

6. Third-party links and tools

The Site may link to or embed third-party tools (for example, scheduling). Those services belong to their providers and are governed by their own terms. We're not responsible for third-party services.

7. Disclaimers

The Site is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties about the Site, express or implied, including fitness for a particular purpose, accuracy, and uninterrupted availability. Descriptions of services, outcomes, and capabilities on the Site are general in nature; specific commitments to clients are made only in written services agreements.

8. Limitation of liability

To the fullest extent permitted by law, RiseWise LLC and RunningLocal will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Site, and our total liability arising out of your use of the Site will not exceed one hundred U.S. dollars ($100). This section applies to the Site only; liability under client engagements is addressed in the applicable services agreement. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless RiseWise LLC and RunningLocal from claims arising out of your misuse of the Site or violation of these Terms.

10. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws rules. Any dispute arising out of these Terms or the Site will be resolved in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction. If any provision of these Terms is found unenforceable, the rest remain in effect.

11. Changes

We may update these Terms from time to time. The current version will always be posted here with its effective date. Continued use of the Site after changes means you accept the updated Terms.
